Effective Date: April 4, 2026
This Terms of Use and End User License Agreement ("Agreement") is a legally binding agreement between you and Colitas Care Hub Corporation ("Colitas," "we," "us," or "our") governing your access to and use of the Colitas mobile application, website, and related services (collectively, the "Platform").
By downloading, installing, registering for, accessing, or using the Platform, you agree to this Agreement. If you do not agree, you must not use the Platform.
Your use of the Platform is also subject to our Privacy Policy.
You and Colitas acknowledge that this Agreement is concluded between you and Colitas only, and not with Apple Inc. ("Apple"). Colitas, not Apple, is solely responsible for the Platform and the content thereof.
The usage rules in this Agreement do not conflict with the Apple Media Services Terms and Conditions.
You must be at least 18 years old to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into this Agreement.
You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
We may suspend, restrict, or terminate accounts where we reasonably believe there is fraud, animal welfare risk, unlawful conduct, document irregularity, safety risk, or a violation of this Agreement or applicable law.
Subject to your compliance with this Agreement, Colitas grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Platform on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions.
This license also permits access and use by other accounts associated with the purchaser via Family Sharing or volume purchasing where applicable.
You agree not to, and not to allow any third party to:
Colitas is solely responsible for providing any maintenance and support services with respect to the Platform as specified in this Agreement or as required under applicable law.
You and Colitas acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Platform.
To the extent not effectively disclaimed under applicable law, Colitas is solely responsible for any product warranties, whether express or implied by law.
In the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Platform, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Colitas' sole responsibility.
You and Colitas acknowledge that Colitas, not Apple, is responsible for addressing any claims by you or any third party relating to the Platform or your possession and/or use of the Platform, including but not limited to:
You and Colitas acknowledge that, in the event of any third-party claim that the Platform or your possession and use of the Platform infringes that third party's intellectual property rights, Colitas, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
You represent and warrant that:
You must comply with applicable third-party terms of agreement when using the Platform, including agreements with your wireless carrier and any third-party services integrated with the Platform.
The Platform may include pet profiles, social features, messaging, audio or video communications, marketplace listings, appointment booking, subscriptions, shelter and adoption features, donation features, and related pet care services. Features may change, be discontinued, or be offered conditionally at any time.
You may submit or make available content, including profiles, posts, photos, videos, reviews, comments, listings, documents, messages, and other materials ("User Content"). You remain responsible for your User Content and represent that you have the rights necessary to submit it.
You grant Colitas a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, format, moderate, distribute within the Platform, and otherwise use User Content as reasonably necessary to operate, secure, improve, and promote the Platform.
We may remove, restrict, review, or preserve User Content where necessary for moderation, safety, animal welfare, legal compliance, investigations, or enforcement purposes.
You must not use the Platform to upload, post, transmit, offer, request, or facilitate any content or activity that:
If you provide services, operate as a clinic, shelter, rescue, or sell products through the Platform, you are solely responsible for your business operations, professional qualifications, licenses, certifications, pricing, advertising claims, taxes, inventory, fulfillment, legal compliance, and the quality and safety of your services or products.
You must provide accurate business and verification information and keep it current. Colitas may request supporting documents at any time and may suspend or remove access if documentation is missing, expired, false, misleading, incomplete, or otherwise unsatisfactory.
Marketplace transactions may involve goods or services offered by third-party sellers or providers. Unless expressly stated otherwise, Colitas acts only as a technology platform and is not the manufacturer, distributor, vendor of record, shipper, or guarantor of third-party goods or services.
Sellers are responsible for product legality, descriptions, pricing, stock, delivery, warranties where applicable, and compliance with consumer protection, labeling, and product safety laws. Users are responsible for reviewing listings carefully before making a purchase.
Colitas may facilitate contact between users and shelters, rescues, foster organizations, or other adoption providers. Colitas does not own, breed, house, medically assess, transport, or guarantee any animal listed for adoption unless expressly stated otherwise.
Adoption providers remain responsible for their own screening criteria, records, animal information, and final placement decisions. Users remain responsible for evaluating suitability, readiness, and compliance with applicable law before adopting an animal.
The Platform may allow users to make donations to shelters, rescues, or other causes. Unless expressly stated otherwise, Colitas acts as a technology intermediary for the donation flow and does not guarantee the recipient's use of donated funds beyond the information the recipient provides.
Donations are generally final and non-refundable except where required by law, expressly stated in the donation flow, or mandated by the relevant payment provider's rules.
Payments, subscriptions, commissions, settlements, refunds, and related processing may be handled by third-party providers designated by Colitas. By using paid features, you authorize the applicable charges, deductions, fees, and commissions disclosed through the Platform.
Colitas may charge commissions or service fees on certain transactions. Some categories, including specified shelter-related adoptions or donations, may be treated differently as described in the Platform. Payment processing fees, taxes, chargebacks, currency conversion costs, or other third-party charges may still apply.
Except where required by applicable law, app marketplace policy, payment provider rules, or an express Colitas policy, payments are final.
If you purchase a subscription through an app store or other billing channel, payment will be charged to the billing method linked to that account at confirmation of purchase. Subscriptions renew automatically unless canceled before the renewal deadline set by the relevant billing provider.
You are responsible for managing or canceling subscriptions through the applicable app store or billing settings. Any free trial or promotional period may be forfeited if you purchase a subscription before that period ends.
The Platform may include messaging, audio, video, or informational features involving professionals or other users. Unless expressly stated otherwise, these features do not create an emergency service, guaranteed response time, continuous professional duty, or in-person clinical relationship.
Any veterinary, educational, wellness, marketplace, or adoption-related information available through the Platform is provided for general informational purposes only and does not replace professional judgment, diagnosis, examination, treatment, or emergency care. If your animal may be in danger or requires urgent care, contact an in-person veterinarian or emergency service immediately.
The Platform may integrate third-party services such as payment processors, subscription tools, maps, analytics services, communications tools, verification providers, or cloud services. Your use of third-party services may be subject to their own terms and policies, and Colitas is not responsible for third-party conduct, outages, or terms.
Personal information is handled in accordance with the Privacy Policy. You agree not to collect, scrape, misuse, disclose, or process personal information obtained through the Platform except as permitted by law and this Agreement.
The Platform, including its software, design, text, graphics, branding, logos, interfaces, compilations, and underlying technology, is owned by or licensed to Colitas and is protected by intellectual property and other laws. Except for the limited license expressly granted in this Agreement, no rights are transferred to you.
If you provide suggestions, ideas, feedback, or recommendations regarding the Platform, Colitas may use them without restriction, obligation, or compensation to you.
We may suspend, disable, restrict, or terminate all or part of your access to the Platform at any time for legal, operational, safety, trust, animal welfare, fraud prevention, policy, or security reasons.
Upon termination, the license granted to you ends immediately. Clauses that by their nature should survive termination, including clauses relating to payments, liability, indemnity, intellectual property, disputes, and data handling, will survive.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
COLITAS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR EVERY PURPOSE, OR THAT LISTINGS, PROFILES, PROFESSIONALS, SELLERS, SHELTERS, OR USER CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, SAFE, LAWFUL, OR AVAILABLE.
COLITAS IS A TECHNOLOGY PLATFORM AND, UNLESS EXPRESSLY STATED OTHERWISE, IS NOT A PARTY TO AGREEMENTS BETWEEN USERS AND THIRD-PARTY PROFESSIONALS, CLINICS, SHELTERS, SELLERS, ADOPTERS, DONORS, OR OTHER PARTICIPANTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLITAS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF COLITAS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO COLITAS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) USD $100.
You agree to defend, indemnify, and hold harmless Colitas and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your User Content, your services or listings, your violation of this Agreement, or your violation of law or third-party rights.
Colitas will not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, public utility failures, internet outages, labor disputes, acts of government, civil unrest, war, epidemics, or failures of third-party systems or services.
This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Subject to applicable mandatory consumer protection laws, any dispute arising out of or relating to this Agreement or the Platform will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
You and Colitas acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
We may update this Agreement from time to time. If we make material changes, we may provide notice through the Platform, by email, or by other reasonable means before the updated version becomes effective, where required by law. Your continued use of the Platform after the effective date of the revised Agreement constitutes acceptance of the revised terms.
